1. Agreement to Terms

These Terms of Service ("Terms") are a legally binding agreement between you and Uovo Labs Oy ("Uovo Labs", "we", "us"). Uovo Labs provides the Northstar OKR management services (the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Description of Services

The Services are cloud-based OKR (Objectives and Key Results) management software that allows organizations and individuals to:

  • Set and track organizational objectives
  • Monitor key results and progress
  • Collaborate on goal achievement
  • Generate performance analytics

3. Eligibility and User Accounts

3.1 Account Creation

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must be at least 16 years old to create an account

3.2 Account Responsibilities

  • Keep your login credentials secure
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account

3.3 Organization Accounts and Administrators

If you join an organization workspace, organization administrators may be able to access, control, or manage your use of the Services within that organization (for example, to manage members and permissions). You are responsible for ensuring you have the right to provide any data you upload or share through an organization workspace.

3.4 Work Email Requirement; Account Removal

You must register using a work email address that you own or are authorized to use (for example, an email address associated with your employer or organization domain). You may not register using personal consumer email addresses or disposable/temporary email addresses.

You must also provide your real name and your real company/organization name when registering and using the Services. You may not impersonate another person or organization, or provide false or misleading registration information.

If we reasonably determine that you registered using a personal or disposable/temporary email address, that the email address you provided is not under your control or authorization, or that you used fake names or otherwise misleading registration information, we may suspend or delete the account (and associated access) without prior notice.

4. Acceptable Use

4.1 Permitted Uses

You may use the Services to:

  • Manage legitimate business objectives and key results
  • Collaborate with authorized team members
  • Generate reports for business purposes

4.2 Prohibited Uses

You may not:

  • Use the Services for illegal activities
  • Attempt to gain unauthorized access to our systems
  • Interfere with the proper functioning of the Services
  • Upload malicious code or harmful content
  • Violate any applicable laws or regulations
  • Reverse engineer, decompile, or attempt to discover the source code of the Services (except to the extent such restriction is prohibited by applicable law)
  • Use the Services to build a competing product or service
  • Access or use the web user interface through bots, scrapers, robots, headless browsers, UI automation tools, or other automated means (except for standard indexing by search engines on public pages where allowed)
  • Circumvent or attempt to circumvent any access controls, rate limits, or usage restrictions

4.3 Automated Access and APIs

The web user interface is intended for human use. If you wish to automate workflows, you must use our APIs (if available) and comply with any API documentation, authentication requirements, rate limits, and usage policies. We require you to use APIs instead of UI automation to protect the reliability and security of the Services.

5. Subscriptions, Payment, and Billing

5.1 Subscription Fees

  • Fees (if any) are charged in advance on a recurring basis
  • Prices may change; we will provide notice as required by law and/or at least 30 days in advance for material pricing changes
  • Except where required by law, fees are non-refundable

5.2 Payment Terms

  • Payment is due upon subscription or renewal
  • We may suspend or terminate the Services for non-payment
  • You are responsible for all applicable taxes (except taxes based on our income)

5.3 Additional Billing Terms

If a separate pricing page, order form, or subscription plan applies, it may provide additional billing terms. In case of conflict, the plan or order form controls for billing details.

6. Data Protection, Privacy, and Security

6.1 Data Processing

We process personal data in accordance with our Privacy Policy. We implement appropriate technical and organizational measures designed to protect your data.

6.2 Service Analytics, Telemetry, and Service Improvement (No Analytics Cookies)

To operate, secure, maintain, and improve the Services, we may collect and use information about how the Services are used and how they perform, including usage events, feature adoption, diagnostic information, and security logs ("Service Analytics").

We understand that your Customer Content (such as OKRs, comments, and updates) may be sensitive. We do not use Customer Content for advertising, and we do not sell Customer Content or personal data. We use data responsibly to improve the reliability, security, and functionality of the Services, using safeguards designed to protect confidentiality and minimize privacy impact.

In particular:

  • We design Service Analytics to focus on operational and usage signals (for example, feature usage counts, performance metrics, error rates, and security events).
  • Where feasible, we use aggregated and/or de-identified information for analytics and service improvement.
  • Where improvements require processing Customer Content, we limit access to authorized personnel and systems for legitimate business purposes (such as support, security, troubleshooting, quality assurance, and product improvement).
  • We do not disclose Customer Content to third parties except as necessary to provide and operate the Services under confidentiality and data protection obligations, with your instructions, or as required by law.

We do not use third-party analytics on our website, and we do not use analytics cookies, local storage identifiers, fingerprinting, or similar technologies for analytics purposes.

You acknowledge that Service Analytics is a core part of operating and improving the Services.

6.3 Your Data Rights

  • You have rights regarding your personal data as outlined in our Privacy Policy
  • You can request access, correction, or deletion of your data

6.4 Data Security

  • We use industry-standard security measures
  • Data is encrypted in transit and at rest
  • We regularly audit our security practices

6.5 Sharing and Service Providers

We do not sell your personal data or Customer Content. We may share data with trusted service providers (subprocessors) only to the extent necessary to provide and operate the Services (for example, hosting and payment processing), under confidentiality and data protection obligations, and not for their own marketing purposes, or when required by law.

7. Customer Content, Confidentiality, and Licenses

7.1 Customer Content

You retain ownership of content you upload, submit, store, send, or otherwise make available through the Services ("Customer Content").

You grant Uovo Labs a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, and display Customer Content only as necessary to provide, secure, and maintain the Services, and to improve and develop the Services and related features in a manner consistent with these Terms and our Privacy Policy, including confidentiality safeguards and the use of aggregated and/or de-identified information where feasible. Where feasible, we will use aggregated and/or de-identified data for service improvement.

You are responsible for ensuring you have all rights necessary to provide Customer Content and to grant the rights described in these Terms.

7.2 Confidentiality

We will treat Customer Content as confidential and will not disclose it to third parties except as necessary to provide and operate the Services, as permitted by our Privacy Policy, with your instructions, or as required by law.

7.3 Feedback

If you provide suggestions or feedback about the Services, you grant us the right to use it without restriction or compensation.

8. Intellectual Property

Uovo Labs owns all rights to the Services and software. You may not copy, modify, or distribute our software. Our trademarks and logos are protected.

9. Service Availability and Changes

9.1 Uptime and Maintenance

We strive to provide reliable Services, but we do not guarantee that the Services will be uninterrupted, error-free, or always available. We may perform maintenance and make changes to the Services at any time.

9.2 Support

We may provide support and updates at our discretion and may change our support channels and availability over time.

9.3 Usage Limits; Unusual Traffic

To protect the Services and other customers, we may implement reasonable usage limits, throttling, or other technical controls. If your usage generates unusually high traffic, excessive requests, abnormal volumes of data, or otherwise risks degrading the Services (whether through the web UI or APIs), we may limit, throttle, suspend, or restrict your access (in whole or in part), with or without notice where necessary to protect the Services.

10. Disclaimers and Limitation of Liability

10.1 Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided "as is" and "as available". Uovo Labs disclaims all warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

10.2 No Liability for Damages

To the fullest extent permitted by applicable law, Uovo Labs will not be responsible or liable for any damages arising out of or relating to the Services or these Terms, including any direct, indirect, incidental, special, consequential, exemplary, or punitive damages, loss of profits, loss of revenue, loss of data, business interruption, or procurement of substitute services, even if we have been advised of the possibility of such damages.

10.3 Liability Cap (If Any Liability Cannot Be Excluded)

If any liability cannot be excluded under applicable law, then to the fullest extent permitted by law, Uovo Labs' total aggregate liability for all claims will not exceed the fees paid by you for the Services during the 12 months immediately preceding the event giving rise to the claim.

11. Termination and Suspension

11.1 Termination by You

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your billing period

11.2 Termination by Us

  • We may suspend or terminate your access to the Services if you violate these Terms, if your use creates risk or harm to the Services or others, or for non-payment
  • We will provide reasonable notice when possible, but we may suspend immediately where necessary to protect the Services or others

11.3 Effect of Termination

  • Your access to Services will cease
  • We will delete your data according to our Privacy Policy
  • You remain liable for any outstanding fees

12. Indemnification

You agree to defend, indemnify, and hold harmless Uovo Labs and its officers, directors, employees, and contractors from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your use of the Services, your Customer Content, or your violation of these Terms or applicable law.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes through the Services or by email. Continued use constitutes acceptance of new Terms. Changes take effect 30 days after notice, and you may terminate if you disagree with changes.

14. Governing Law

These Terms are governed by the laws of Finland, without regard to conflict of laws principles. Any disputes will be resolved in the courts of Helsinki, Finland, unless applicable law requires otherwise.

15. General Provisions

These Terms constitute the entire agreement between us and supersede any prior agreements. If any provision is invalid, the rest remains in effect. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets. Uovo Labs will not be liable for any delay or failure to perform resulting from causes outside our reasonable control.
